This book examines in detail the current UK law on company meetings (including meetings of directors and of shareholders) which has been developed by statute and legal decisions over the last 150 years. It does so by comparing and contrasting the existing law with the new provisions contained in the Company Law Reform Bill.

The Company Law Reform Act constitutes the most radical reform of Company Law since the Companies Act 1985 and contains many new provisions which have a material impact on the conduct of company meetings. In relation to meetings of shareholders the legislation makes an important distinction between the rights and obligations arising in respect of public companies and those of private companies. The legislation also introduces new standard form articles of association containing provisions relating to meetings of directors and shareholders.

This work analyses these statutory provisions and explains how they are to operate in practice. In addition, it explains for practitioners the methods of avoiding many of the common pitfalls that may befall the unwary and suggests practical solutions for some of the problems that can arise when convening or holding a meeting.

The authors are two well-known company law specialists with a combined total of almost 50 years' experience of advising on this very technical area of the law.

About the Author

Leslie Kosmin is a barrister in practice in the field of Company Law at Erskine Chmbers since 1977. He was called to the Bar in 1976 and was appointed Queen's Counsel in 1994. He is a Deputy High Court Judge and Master of the Bench of the Middle Temple.

Catherine Roberts is a barrister at Erskine Chambers specialising in company law litigation and advice, corporate finance, financial services, and insolvency. She studied law at the University of Cambridge and was called to the Bar in 1986, a year after which she joined Erskine Chambers.

Thorough, but difficult to read

Maybe I'm just unfamiliar with the style of a British textbook, but I found it very difficult to follow. The text rambles from one statement to another, with no logical flow, structure or summaries of introduction or conclusion. It's certainly a thorough treatment of the field if your interest is understanding differences in international practice, although it's not targeted at someone who wants to learn to actually perform the accounting.

Eyes wide open

This book was a very good read. As I began, I felt as if my eyes were finally being opened. There was this whole world I had never known. The were so many ways to pick up and talk to women that I thought would never work, or never even thought of. I wanted to try them all out, but I felt as if I should finish reading before I set out on my endeavors.
As I read page after page I became more and more interested. I was seeing some of my coworkers in a new light. They acted just like some of the people in this book, some of which I had looked up to. A little more than halfway through, I began to see what direction this book was going in. I am glad I read this book all the way through. I thought that it was women that I was missing in my life. I needed to become a pickup artist, or so I thought. While it is true that women are noticeably absent from my life, that wasn't the source of my emptiness. It was confidence.
It wasn't until the end of book that I realized that I didn't need any fine tuned pickup lines. I needed to just be me, but with more confidence. This book has given me the basic tools I need to start conversations with random strangers, to meet new people, which I had been to afraid to do. So what if they don't like me, the right people for me will. All I need to do is get out there and socialize.
While this book still makes me want to go out and try to pickup women, it's not to become a pickup artist. It's to further myself in every aspect of my life. Women are my vice in life, my weakness, I am afraid of rejection and thusly, afraid of women. If I can overcome my biggest obstacle with confidence, then there is nothing I can't do. Even though Neil Strauss will never know of me and never know how big of an impact his book has had on me, his book has unlocked the door to my future that I can now begin to open. I cannot thank him enough for writing this book. Very highly recommended!

A funny and insightful book that will speak to (almost) anyone.

Strauss does an unparalleled job in both stealing the heart of the reader (who among us has never envied a friend who seemed adapt at attracting partners or berated ourselves for missing out on potential partners?) and breaking down point by point all the good (and yes, the book does not shy away from pointing out to some good things in seduction tricks) and bad that such games might lead to.

I could give you the short-hand version which is like this: yes, you can learn a set of tricks and skills that will attract people and lead them to sleep with you. (I suspect this is more accurate when people are young, between 20-30 say) if that is what you wish. However, at some point you will run out of tricks and be forced to deal with the person you actually are and who the other person is. aka, a real relationship will not become easier to do if you learn a trick or two. But this shorthand does the book an injustice, it's funny, smart, surprising, and in a very odd way very feminist as it describes how seeing young women as targets or prey the seduction tricks can become a nasty subculture for men who are mostly lonely and scared.

A Stepping Stone to Your Inner Greatness

"The Game" is a bit like a chameleon in regard to its purpose and how people will interpret it. It is going to be different things for different people. For some it will be a entertaining documentary about an interesting underground community (the seduction one). For others it will be a self help/life changing book. Others a eye opener/oh s*** moment book (particularly for woman who have been targeted with the techniques Strauss describes). And so on. Or maybe all of the above!

"The Game" is told through stories/first hand accounts of Strausses experience in the seduction community. He manages to tie in the life/self help lessons in nicely with all the drama of a good story. There's rarely a dull moment but I do have to say that it can seem Strauss is bragging at times and this hurts the flow of the story at times.

Personally the book acted as a gateway for me, as I imagine many others, into a much needed self improvement period of my life. I began to realize my self worth, gain confidence in myself and really go out their and make my dreams happen. To look inward for approval rather than bending overbackwards to gain the approval of others.

And I think that's where their is a lot of misunderstanding in the public. The seduction community is more than a bunch of creepy pickup nerds trying to bed and use woman. Often men find their way to the community after years of frustration and loneliness stemming from failure with the opposite sex (something they were never taught how to deal with by school or their parents). Maybe they were abused and suffer from extremely low self esteem. Whatever the case guys like Strauss, Mystery (and others) have been there and have done the hard and tiring work of figuring out what the problem is and how to fix it. And now their sharing this knowledge to others to help them. So it's important to have an open mind and not disregard Strauss because of the subject matter he's discussing.

I do feel the game leaves you wanting more (perhaps this is by design). I would recommend, actually would require, that you check out Strausses follow up "Rules of the Game". It's much more of a "how to" book and features the style life challenge which is a 30 life changing program. It's the book Strauss could wish he could give to his younger self. It's likely to change your life for ever.

Bohlman is the Mary Werkman Distinguished Service Professor of Music and the Humanities at the University of Chicago and Honorarprofessor at the Hochschule für Musik, Theater und Medien Hannover. A pianist, he is the Artistic Director of the New Budapest Orpheum Society, a Jewish cabaret and ensemble-in-residence at the University of Chicago. Among his honors are the Edward Dent Medal, the Berlin Prize, the Derek Allen Prize from the British Academy and the Noah Greenberg Award from the American Musicological Society. He is currently completing the volume, Ethnomusicology, for the Cambridge Introductions to Music series.
